Dr. Tan Lay Hong is a Consultant with George Hwang LLC, specializing in corporate law and governance. Recently, she has a growing interest in family law and has successfully represented some clients in this area.

Her extensive experience in legal practice, combined with her distinguished academic career, equips her with a unique ability to deliver innovative solutions to complex legal challenges.

Dr. Tan’s legal expertise spans corporate matters, compliance issues, family law and litigation. She has handled signifi cant cases, including:

  • Advising on share buy-backs and the administrative restoration of a defunct foreign company with paid-up capital of USD $43.25 million under section 344 of the Companies Act.
  • Advising clients in en bloc matters and disputes under the Building Maintenance and Strata Management Act, including encroachment issues and missing fi nancial records for condominium and commercial complexes.
  • Acting as lead counsel in a matrimonial dispute involving properties worth approximately SGD $6 million, successfully arguing one of the fi rst test cases under the new “therapeutic justice” approach before three Appellate Judges of the High Court.

Dr. Tan also advises clients on harassment cases at the Protection from Harassment Act (POHA) Court, providing practical solutions to sensitive disputes.

Academic Achievements and Contributions to Practice

Prior to resuming full-time practice in 2022, Dr. Tan was a tenured Associate Professor at Nanyang Business School (NTU) for 24 years. Her academic accomplishments include:

  • Publishing top-tier articles in leading journals such as *The International and Comparative Law Quarterly*, *The Journal of Corporate Law*, *The Australian Law Journal* and *The Singapore Academy Law Journal*.
  • Authoring seminal works such as “Chinese Business Law: A Primer for Lawyers and Entrepreneurs” (2003), “Corporate Governance of Listed Companies in Singapore” (2013), and “Casebook on Corporate Governance: The Good, the Bad and the Ugly” (2006).
  • Serving as sole editor of “Annotations to the Companies Act” (2024), showcasing her deep understanding of corporate legislation.
